Critical Notice – Please Read Carefully
Klyros Dental operates solely as a dental coordination and facilitation platform. Klyros Dental is not a dental practice, dental service provider, clinical provider, or healthcare entity of any kind. Klyros Dental does not practice dentistry, diagnose dental conditions, issue prescriptions, perform clinical examinations, interpret diagnostic materials, or provide any form of dental treatment or advice.
All clinical services — including case review, professional judgment, prescription decisions, and clinical oversight — are performed exclusively by independently licensed dental professionals who are not employees, agents, representatives, or affiliates of Klyros Dental. These dentists maintain their own independent practices and exercise their own independent professional judgment. Klyros Dental has no control over, and assumes no responsibility for, their clinical decisions or actions.
Klyros Dental also coordinates with certified U.S. dental laboratories that are independent third parties. There is no employer-employee, principal-agent, partnership, joint venture, or any other legal relationship between Klyros Dental and any licensed dentist or laboratory. Any clinical relationship you have exists solely between you and the independent licensed dentist.
By accessing this document and providing your consent, you acknowledge and agree to the following terms. This consent and release is a mandatory condition of using the Klyros Dental platform and services.
1. Nature of the Teledentistry Process
Klyros Dental's platform enables you to submit at-home dental impressions, photographs, and health information. These materials are forwarded to an independent licensed dental professional for remote review. If the dentist issues a prescription, Klyros Dental arranges fabrication by an independent laboratory and shipping. This is a facilitation service only and does not include any clinical evaluation by Klyros Dental.
2. Risks, Limitations, and Assumption of Risk
You understand and voluntarily accept the following:
- Teledentistry and at-home impressions have significant inherent limitations compared to in-person dental care. This includes (but is not limited to) the inability to perform comprehensive oral exams, X-rays, periodontal probing, or other diagnostic procedures.
- The independent dentist's assessment depends entirely on the accuracy, quality, and completeness of the materials and information you provide. Poor impressions, unclear photos, or incomplete history may lead to incorrect assessments, denial of prescription, ill-fitting appliances, or other issues.
- There are no guarantees whatsoever regarding approval of your case, fit, comfort, function, durability, aesthetics, longevity, or therapeutic outcome of any dental appliance.
- Potential risks and adverse outcomes include (without limitation): discomfort, pain, gum irritation, inflammation, bite changes, speech difficulties, appliance breakage or failure, allergic reactions, worsening of existing dental conditions, need for additional treatment, or other complications.
- You may require follow-up or emergency in-person dental care, which is entirely your responsibility and at your own expense.
You voluntarily assume all risks associated with the teledentistry process, the appliance, and any related services.
3. No Agency or Vicarious Liability
You expressly agree that Klyros Dental shall not be held liable for any acts, omissions, negligence, malpractice, or decisions of any independent licensed dentist or laboratory. Klyros Dental expressly disclaims any and all vicarious liability, respondeat superior, or similar theories of liability.
4. Broad Release, Waiver, and Hold Harmless
To the fullest extent permitted by applicable law, you hereby release, waive, discharge, and covenant not to sue Klyros Dental, its parent companies, subsidiaries, affiliates, officers, managers, members, directors, employees, contractors, successors, and assigns (collectively, the "Released Parties") from any and all claims, demands, actions, causes of action, damages, liabilities, losses, costs, and expenses (including attorneys' fees and court costs), whether known or unknown, suspected or unsuspected, arising out of or in any way related to:
- Your use of the Klyros Dental platform or services
- The teledentistry review process
- Any prescription, dental appliance, or services provided by independent professionals or laboratories
- Any act, omission, or alleged malpractice by any independent licensed dentist or laboratory
- Any injury, damage, dissatisfaction, or complication resulting from the process or appliance
This release specifically includes, without limitation, any claims attempting to impose liability on Klyros Dental through piercing the corporate veil, alter ego theory, joint venture, agency, apparent authority, or any other theory seeking to disregard corporate separateness.
5. Indemnification
You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the services, your submissions, the appliance, or any breach of this agreement.
6. No Warranties and Disclaimer
All services and appliances are provided on an "AS IS" and "AS AVAILABLE" basis. Klyros Dental makes no representations or warranties of any kind, express or implied, regarding the quality, suitability, fit, outcome, or results of any appliance or service. All clinical responsibility lies exclusively with the independent licensed dentist.
7. Patient Responsibilities
You agree to:
- Provide accurate, complete, and truthful information
- Follow all instructions for impressions, photos, and appliance use precisely
- Seek immediate in-person professional dental care if you experience any pain, discomfort, or issues
- Not rely on Klyros Dental for emergency or comprehensive dental care
8. Acknowledgment and Consent
I confirm that I have read this entire document, understand its terms, and have had the opportunity to ask questions. I enter into this agreement voluntarily and without duress. I consent to the teledentistry facilitation process on the terms set forth above.
Electronic Signature: By checking the box on the patient questionnaire and submitting it, I affirm that my electronic acknowledgment has the same legal force and effect as a handwritten signature.
